While we strive to deliver excellent results, we cannot guarantee specific outcomes, sales numbers, or ROI. Past performance does not guarantee future results.
11.2 Performance Reporting
We provide regular performance reports and analytics. Clients have the right to audit campaign performance data upon reasonable notice.
12. Compliance and Legal Requirements
12.1 Regulatory Compliance
All campaigns are conducted in compliance with UK laws, including consumer protection regulations, data protection laws, and industry-specific regulations.
12.2 Brand Compliance
Our teams are trained to represent client brands in compliance with brand guidelines, FCA regulations (where applicable), and all relevant industry standards.
13. Termination
13.1 Termination by Client
Clients may terminate services subject to the notice period and terms specified in the service agreement. Fees for services rendered up to termination date will be payable.
13.2 Termination by Relay Direct
We reserve the right to terminate services if the client breaches these terms, fails to make payment, or engages in conduct harmful to our reputation or operations.
14. Limitation of Liability
To the fullest extent permitted by law, Relay Direct Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities arising from the use of our services.
Our total liability for any claims arising from our services shall not exceed the total fees paid by the client in the 12 months preceding the claim.
15. Indemnification
You agree to indemnify and hold Relay Direct Ltd harmless from any claims, damages, losses, liabilities, and expenses arising from your use of our services, violation of these terms, or infringement of any rights of another party.
16. Dispute Resolution
16.1 Negotiation
In the event of any dispute, both parties agree to first attempt resolution through good-faith negotiation.

If negotiation fails, parties agree to participate in mediation before pursuing legal action.
